General<\/strong><\/h2>\n<p data-start=\"232\" data-end=\"471\">These General Terms and Conditions apply as soon as the client has requested the assistance of the contractor. All provisions of these terms are binding between the parties, insofar as they have not been expressly deviated from in writing.<\/p>\n<p data-start=\"473\" data-end=\"520\">In these terms the following definitions apply:<\/p>\n<ul data-start=\"522\" data-end=\"919\">\n<li data-start=\"522\" data-end=\"628\">\n<p data-start=\"524\" data-end=\"628\"><strong data-start=\"524\" data-end=\"538\">Contractor<\/strong>: the natural person or legal entity performing the activities referred to in Article 2.<\/p>\n<\/li>\n<li data-start=\"629\" data-end=\"724\">\n<p data-start=\"631\" data-end=\"724\"><strong data-start=\"631\" data-end=\"641\">Client<\/strong>: the natural person or legal entity requesting the assistance of the contractor.<\/p>\n<\/li>\n<li data-start=\"725\" data-end=\"919\">\n<p data-start=\"727\" data-end=\"919\"><strong data-start=\"727\" data-end=\"741\">Assignment<\/strong>: the activities to be performed by the contractor, as determined in mutual consultation between client and contractor, and the conditions under which they are to be carried out.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"921\" data-end=\"924\" \/>\n<h2 data-start=\"926\" data-end=\"949\"><strong data-start=\"929\" data-end=\"949\">Article 2. Scope<\/strong><\/h2>\n<p data-start=\"951\" data-end=\"1055\">All offers are non-binding unless the contractor has expressly stated otherwise in offers or quotations.<\/p>\n<p data-start=\"1057\" data-end=\"1111\">The contractor\u2019s activities may include, among others:<\/p>\n<ul data-start=\"1113\" data-end=\"1399\">\n<li data-start=\"1113\" data-end=\"1170\">\n<p data-start=\"1115\" data-end=\"1170\">maintaining complete bookkeeping and\/or administration,<\/p>\n<\/li>\n<li data-start=\"1171\" data-end=\"1199\">\n<p data-start=\"1173\" data-end=\"1199\">preparing annual accounts,<\/p>\n<\/li>\n<li data-start=\"1200\" data-end=\"1250\">\n<p data-start=\"1202\" data-end=\"1250\">filing tax returns and handling related matters,<\/p>\n<\/li>\n<li data-start=\"1251\" data-end=\"1304\">\n<p data-start=\"1253\" data-end=\"1304\">providing financial, fiscal and\/or business advice,<\/p>\n<\/li>\n<li data-start=\"1305\" data-end=\"1399\">\n<p data-start=\"1307\" data-end=\"1399\">performing all acts and activities that may be useful in connection with the above services.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"1401\" data-end=\"1533\">A client who has once contracted under these terms is deemed to have tacitly agreed to their applicability to subsequent agreements.<\/p>\n<hr data-start=\"1535\" data-end=\"1538\" \/>\n<h2 data-start=\"1540\" data-end=\"1584\"><strong data-start=\"1543\" data-end=\"1584\">Article 3. Formation of the Agreement<\/strong><\/h2>\n<p data-start=\"1586\" data-end=\"1698\">The agreement is concluded at the moment the contractor accepts the assignment. This also applies to amendments.<\/p>\n<p data-start=\"1700\" data-end=\"1882\">If the client\u2019s interest requires immediate performance, or if immediate delivery has been requested, the agreement is deemed concluded once the contractor has commenced performance.<\/p>\n<hr data-start=\"1884\" data-end=\"1887\" \/>\n<h2 data-start=\"1889\" data-end=\"1936\"><strong data-start=\"1892\" data-end=\"1936\">Article 4. Obligations of the Contractor<\/strong><\/h2>\n<p data-start=\"1938\" data-end=\"2078\">The contractor shall safeguard the client\u2019s interests to the best of their knowledge and ability, insofar as possible within the assignment.<\/p>\n<p data-start=\"2080\" data-end=\"2173\">The contractor shall perform the work in accordance with applicable professional regulations.<\/p>\n<p data-start=\"2175\" data-end=\"2309\">The manner in which administration and other work are performed must comply with legal requirements and the client\u2019s responsibilities.<\/p>\n<p data-start=\"2311\" data-end=\"2398\">If the work aims to achieve a specific financial result, this result is not guaranteed.<\/p>\n<hr data-start=\"2400\" data-end=\"2403\" \/>\n<h2 data-start=\"2405\" data-end=\"2448\"><strong data-start=\"2408\" data-end=\"2448\">Article 5. Obligations of the Client<\/strong><\/h2>\n<p data-start=\"2450\" data-end=\"2466\">The client must:<\/p>\n<ul data-start=\"2468\" data-end=\"2606\">\n<li data-start=\"2468\" data-end=\"2531\">\n<p data-start=\"2470\" data-end=\"2531\">refrain from actions that hinder execution of the assignment,<\/p>\n<\/li>\n<li data-start=\"2532\" data-end=\"2606\">\n<p data-start=\"2534\" data-end=\"2606\">provide all data, information and documents timely, fully and correctly.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"2608\" data-end=\"2611\" \/>\n<h2 data-start=\"2613\" data-end=\"2646\"><strong data-start=\"2616\" data-end=\"2646\">Article 6. Confidentiality<\/strong><\/h2>\n<p data-start=\"2648\" data-end=\"2741\">The contractor undertakes to treat all assignment-related data and documents as confidential.<\/p>\n<p data-start=\"2743\" data-end=\"2859\">The contractor is not liable for breaches of confidentiality by employees if prevention was not reasonably possible.<\/p>\n<hr data-start=\"2861\" data-end=\"2864\" \/>\n<h2 data-start=\"2866\" data-end=\"2914\"><strong data-start=\"2869\" data-end=\"2914\">Article 7. Cooperation with Third Parties<\/strong><\/h2>\n<p data-start=\"2916\" data-end=\"2998\">The contractor may engage external specialists after consultation with the client.<\/p>\n<p data-start=\"3000\" data-end=\"3040\">No liability is accepted for their work.<\/p>\n<hr data-start=\"3042\" data-end=\"3045\" \/>\n<h2 data-start=\"3047\" data-end=\"3095\"><strong data-start=\"3050\" data-end=\"3095\">Article 8. Shortcomings of the Contractor<\/strong><\/h2>\n<p data-start=\"3097\" data-end=\"3233\">The contractor is only liable for direct damages resulting from shortcomings that could have been avoided with normal professional care.<\/p>\n<p data-start=\"3235\" data-end=\"3387\">They must remedy shortcomings free of charge if repair costs do not exceed the fee charged. If higher, repair occurs only after written client approval.<\/p>\n<p data-start=\"3389\" data-end=\"3522\">Liability expires no later than 60 months after submission of the tax returns for the relevant fiscal year (plus granted extensions).<\/p>\n<p data-start=\"3524\" data-end=\"3549\">Liability also lapses if:<\/p>\n<ul data-start=\"3551\" data-end=\"3701\">\n<li data-start=\"3551\" data-end=\"3606\">\n<p data-start=\"3553\" data-end=\"3606\">the contractor was not allowed to attend a tax audit,<\/p>\n<\/li>\n<li data-start=\"3607\" data-end=\"3651\">\n<p data-start=\"3609\" data-end=\"3651\">was not allowed to remedy the shortcoming,<\/p>\n<\/li>\n<li data-start=\"3652\" data-end=\"3701\">\n<p data-start=\"3654\" data-end=\"3701\">third parties were engaged without involvement.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"3703\" data-end=\"3761\">Shortcomings must be reported within 1 month of discovery.<\/p>\n<p data-start=\"3763\" data-end=\"3829\">Liability is limited to professional indemnity insurance coverage.<\/p>\n<hr data-start=\"3831\" data-end=\"3834\" \/>\n<h2 data-start=\"3836\" data-end=\"3880\"><strong data-start=\"3839\" data-end=\"3880\">Article 9. Shortcomings of the Client<\/strong><\/h2>\n<p data-start=\"3882\" data-end=\"3990\">The contractor is not liable for errors resulting from the client\u2019s failure to meet obligations (Article 5).<\/p>\n<p data-start=\"3992\" data-end=\"4028\">Repairs are at the client\u2019s expense.<\/p>\n<hr data-start=\"4030\" data-end=\"4033\" \/>\n<h2 data-start=\"4035\" data-end=\"4079\"><strong data-start=\"4038\" data-end=\"4079\">Article 10. Termination by the Client<\/strong><\/h2>\n<p data-start=\"4081\" data-end=\"4155\">The client may terminate the assignment at any time via registered letter.<\/p>\n<p data-start=\"4157\" data-end=\"4244\">A transition period of at least one month applies to enable transfer of administration.<\/p>\n<p data-start=\"4246\" data-end=\"4322\">Death of the client does not terminate the assignment; rights pass to heirs.<\/p>\n<hr data-start=\"4324\" data-end=\"4327\" \/>\n<h2 data-start=\"4329\" data-end=\"4390\"><strong data-start=\"4332\" data-end=\"4390\">Article 11. Suspension \/ Termination by the Contractor<\/strong><\/h2>\n<p data-start=\"4392\" data-end=\"4460\">The contractor may suspend or terminate the agreement if the client:<\/p>\n<ul data-start=\"4462\" data-end=\"4618\">\n<li data-start=\"4462\" data-end=\"4490\">\n<p data-start=\"4464\" data-end=\"4490\">fails to meet obligations,<\/p>\n<\/li>\n<li data-start=\"4491\" data-end=\"4528\">\n<p data-start=\"4493\" data-end=\"4528\">files for bankruptcy or moratorium,<\/p>\n<\/li>\n<li data-start=\"4529\" data-end=\"4553\">\n<p data-start=\"4531\" data-end=\"4553\">is subject to seizure,<\/p>\n<\/li>\n<li data-start=\"4554\" data-end=\"4593\">\n<p data-start=\"4556\" data-end=\"4593\">liquidates or transfers the business,<\/p>\n<\/li>\n<li data-start=\"4594\" data-end=\"4618\">\n<p data-start=\"4596\" data-end=\"4618\">fails to pay invoices.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"4620\" data-end=\"4623\" \/>\n<h2 data-start=\"4625\" data-end=\"4682\"><strong data-start=\"4628\" data-end=\"4682\">Article 12. Submission, Delivery Time and Delivery<\/strong><\/h2>\n<p data-start=\"4684\" data-end=\"4779\">Documents shall be submitted and delivered in the form and manner determined by the contractor.<\/p>\n<p data-start=\"4781\" data-end=\"4847\">Failure entitles the contractor to suspend work without liability.<\/p>\n<hr data-start=\"4849\" data-end=\"4852\" \/>\n<h2 data-start=\"4854\" data-end=\"4891\"><strong data-start=\"4857\" data-end=\"4891\">Article 13. Right of Retention<\/strong><\/h2>\n<p data-start=\"4893\" data-end=\"5002\">The contractor may retain documents until all outstanding invoices, interest and damages are paid or secured.<\/p>\n<p data-start=\"5004\" data-end=\"5051\">This includes books, records and data carriers.<\/p>\n<hr data-start=\"5053\" data-end=\"5056\" \/>\n<h2 data-start=\"5058\" data-end=\"5090\"><strong data-start=\"5061\" data-end=\"5090\">Article 14. Force Majeure<\/strong><\/h2>\n<p data-start=\"5092\" data-end=\"5101\">Includes:<\/p>\n<ul data-start=\"5103\" data-end=\"5223\">\n<li data-start=\"5103\" data-end=\"5113\">\n<p data-start=\"5105\" data-end=\"5113\">strikes,<\/p>\n<\/li>\n<li data-start=\"5114\" data-end=\"5122\">\n<p data-start=\"5116\" data-end=\"5122\">theft,<\/p>\n<\/li>\n<li data-start=\"5123\" data-end=\"5145\">\n<p data-start=\"5125\" data-end=\"5145\">government measures,<\/p>\n<\/li>\n<li data-start=\"5146\" data-end=\"5153\">\n<p data-start=\"5148\" data-end=\"5153\">fire,<\/p>\n<\/li>\n<li data-start=\"5154\" data-end=\"5174\">\n<p data-start=\"5156\" data-end=\"5174\">computer failures,<\/p>\n<\/li>\n<li data-start=\"5175\" data-end=\"5187\">\n<p data-start=\"5177\" data-end=\"5187\">epidemics,<\/p>\n<\/li>\n<li data-start=\"5188\" data-end=\"5200\">\n<p data-start=\"5190\" data-end=\"5200\">data loss,<\/p>\n<\/li>\n<li data-start=\"5201\" data-end=\"5207\">\n<p data-start=\"5203\" data-end=\"5207\">war,<\/p>\n<\/li>\n<li data-start=\"5208\" data-end=\"5223\">\n<p data-start=\"5210\" data-end=\"5223\">water damage.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"5225\" data-end=\"5288\">The contractor may terminate the agreement or extend deadlines.<\/p>\n<p data-start=\"5290\" data-end=\"5361\">If force majeure lasts longer than one month, the client may terminate.<\/p>\n<p data-start=\"5363\" data-end=\"5390\">Payment obligations remain.<\/p>\n<hr data-start=\"5392\" data-end=\"5395\" \/>\n<h2 data-start=\"5397\" data-end=\"5436\"><strong data-start=\"5400\" data-end=\"5436\">Article 15. Financial Provisions<\/strong><\/h2>\n<p data-start=\"5438\" data-end=\"5499\">Unless agreed otherwise, remuneration is a fixed monthly fee.<\/p>\n<p data-start=\"5501\" data-end=\"5537\">Estimates are provided upon request.<\/p>\n<hr data-start=\"5539\" data-end=\"5542\" \/>\n<h2 data-start=\"5544\" data-end=\"5572\"><strong data-start=\"5547\" data-end=\"5572\">Article 16. Invoicing<\/strong><\/h2>\n<p data-start=\"5574\" data-end=\"5614\">Invoices must be sufficiently specified.<\/p>\n<hr data-start=\"5616\" data-end=\"5619\" \/>\n<h2 data-start=\"5621\" data-end=\"5650\"><strong data-start=\"5624\" data-end=\"5650\">Article 17. Complaints<\/strong><\/h2>\n<ul data-start=\"5652\" data-end=\"5790\">\n<li data-start=\"5652\" data-end=\"5683\">\n<p data-start=\"5654\" data-end=\"5683\">Complaints: within 30 days.<\/p>\n<\/li>\n<li data-start=\"5684\" data-end=\"5713\">\n<p data-start=\"5686\" data-end=\"5713\">Response: within 14 days.<\/p>\n<\/li>\n<li data-start=\"5714\" data-end=\"5752\">\n<p data-start=\"5716\" data-end=\"5752\">Complaints do not suspend payment.<\/p>\n<\/li>\n<li data-start=\"5753\" data-end=\"5790\">\n<p data-start=\"5755\" data-end=\"5790\">Invoice complaints: within 14 days.<\/p>\n<\/li>\n<\/ul>\n<hr data-start=\"5792\" data-end=\"5795\" \/>\n<h2 data-start=\"5797\" data-end=\"5837\"><strong data-start=\"5800\" data-end=\"5837\">Article 18. Intellectual Property<\/strong><\/h2>\n<p data-start=\"5839\" data-end=\"5976\">All IP rights relating to software, systems, methods and reports remain exclusively with the contractor, during and after the assignment.<\/p>\n<hr data-start=\"5978\" data-end=\"5981\" \/>\n<h2 data-start=\"5983\" data-end=\"6009\"><strong data-start=\"5986\" data-end=\"6009\">Article 19. Payment<\/strong><\/h2>\n<p data-start=\"6011\" data-end=\"6043\">Invoices payable within 14 days.<\/p>\n<p data-start=\"6045\" data-end=\"6060\">After due date:<\/p>\n<ul data-start=\"6062\" data-end=\"6152\">\n<li data-start=\"6062\" data-end=\"6091\">\n<p data-start=\"6064\" data-end=\"6091\">statutory interest applies,<\/p>\n<\/li>\n<li data-start=\"6092\" data-end=\"6131\">\n<p data-start=\"6094\" data-end=\"6131\">collection costs min. 15% (min. \u20ac70),<\/p>\n<\/li>\n<li data-start=\"6132\" data-end=\"6152\">\n<p data-start=\"6134\" data-end=\"6152\">legal costs apply.<\/p>\n<\/li>\n<\/ul>\n<p data-start=\"6154\" data-end=\"6180\">Payments are allocated to:<\/p>\n<ol data-start=\"6182\" data-end=\"6224\">\n<li data-start=\"6182\" data-end=\"6191\">\n<p data-start=\"6185\" data-end=\"6191\">costs,<\/p>\n<\/li>\n<li data-start=\"6192\" data-end=\"6204\">\n<p data-start=\"6195\" data-end=\"6204\">interest,<\/p>\n<\/li>\n<li data-start=\"6205\" data-end=\"6224\">\n<p data-start=\"6208\" data-end=\"6224\">oldest invoices.<\/p>\n<\/li>\n<\/ol>\n<hr data-start=\"6226\" data-end=\"6229\" \/>\n<h2 data-start=\"6231\" data-end=\"6258\"><strong data-start=\"6234\" data-end=\"6258\">Article 20.
